CloserDays Terms of Use

1. What CloserDays is

CloserDays is a private app for two people to share a reunion countdown, small moments and Home Screen widgets. Each space holds exactly two members. It is not a public social network, a dating service, or a safety or location service.

2. Who can use it

You must be at least 18 years old, or the age of majority where you live, and able to enter a binding agreement. You are responsible for your device, your Apple Account and anything done through your CloserDays account.

3. Your content

You own the photos, notes and other content you create. You give Amcle a limited, non-exclusive licence to store, resize, transmit and display that content solely to provide CloserDays to you and the partner you pair with, and you allow your partner to view it, react to it and save it within the app. That licence ends when the content is deleted, except for copies that remain briefly in backups.

Only share content that is yours to share and that the other person in your space is willing to receive. Do not upload content that is illegal, that infringes someone else's rights, that depicts anyone without their consent, or that harasses or threatens anyone.

Either partner can delete their own moments at any time, and either partner can unlink the space. Unlinking permanently deletes the shared moments, photos and reunion plans for both of you.

4. Acceptable use

Do not use CloserDays to harass, stalk, impersonate or monitor anyone; to attempt to reach a space you are not a member of; to probe, overload or reverse engineer the service; to resell or automate access; or to break any law. We may remove content and suspend or close accounts that break these terms.

5. CloserDays Pro

CloserDays Pro is an optional auto-renewing subscription sold through Apple's App Store. Current plans are weekly, monthly and annual; the price for your region is shown in the app and on the App Store before you buy. New subscribers receive a three-day free trial, after which the subscription converts to a paid subscription unless cancelled before the trial ends.

Payment is charged to your Apple Account. The subscription renews automatically unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage or cancel it in your Apple Account settings (Settings → Apple Account → Subscriptions). Deleting the app does not cancel a subscription.

One subscription unlocks Pro for both members of a space for as long as they remain linked and the subscription is active. If you unlink, your partner loses Pro that came from your purchase. Pro features are described in the app and on the subscriptions page; we may change them over time, and we will not reduce what you paid for during a period you have already paid.

Refunds are handled by Apple under Apple's policies; we cannot issue App Store refunds ourselves. Use Restore Purchases in the app to recover an existing subscription on a new device. More detail is on the subscriptions page.

6. Free plan

The free plan includes the countdown, pairing, the Paper widget theme, a monthly allowance of moments, your recent timeline and one story design. Allowances are enforced by the service and may be adjusted; the current limits are shown in the app.

7. Privacy

How we handle your data is described in the Privacy Policy, which forms part of these terms.

8. Ending your use

You can stop using CloserDays at any time, and you can delete your account from Settings → Delete my account, which removes your data as described in the Privacy Policy. We may suspend or terminate accounts that violate these terms or where required by law, and we may discontinue the service with reasonable notice; in that case we will give you a reasonable opportunity to export story images and save what matters to you.

9. Apple

CloserDays is distributed through Apple's App Store, and Apple's standard Licensed Application End User License Agreement also applies to your download. Apple is not responsible for the app or for providing support for it, and Apple is a third-party beneficiary of these terms with the right to enforce them.

10. Disclaimers

CloserDays is provided “as is” and “as available”. To the fullest extent permitted by law, Amcle makes no warranties, express or implied, including about availability, accuracy of countdowns across time zones, notification delivery, or fitness for a particular purpose. Keep your own copies of photos that matter to you.

11. Limitation of liability

To the fullest extent permitted by law, Amcle is not liable for indirect, incidental, special, consequential or punitive damages, or for lost data, arising from your use of CloserDays. Our total liability for any claim is limited to the amount you paid Amcle for CloserDays in the twelve months before the claim. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

12. Changes to these terms

We may update these terms. For material changes we will update the effective date and notify you in the app or on this page before they take effect. Continuing to use CloserDays after that date means you accept the updated terms.

13. Governing law and contact

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules, and the courts of Ontario have jurisdiction, except where the consumer-protection law of your country of residence gives you mandatory rights that override this.
